Terms of Service

Last updated: May 18, 2026. These terms describe the baseline rules for using DePinguin Network, a pre-MVP verified mobile compute marketplace connecting AI teams with opt-in phone providers.

1. Agreement to these terms

By accessing or using DePinguin Network, you agree to these Terms of Service and to any additional rules shown inside the product, pilot program, dashboard, API, or worker app. If you do not agree, do not use the service.

“DePinguin,” “we,” “us,” and “our” refer to DePinguin Network. “You” refers to the person or organization accessing or using the service.

2. Platform status

DePinguin Network is currently pre-MVP and may be offered as a pilot, prototype, waitlist, private beta, or design-partner program. Features, pricing, payout logic, job types, verification methods, supported countries, device requirements, and availability may change before public launch.

3. User roles

The platform has two primary roles:

  • Phone providers opt in to make eligible device resources available under user-defined constraints.
  • Buyers submit jobs that benefit from real-device execution, mobile geography, network conditions, hardware diversity, redundancy, or verification.

We may require account verification, device checks, business verification, payment verification, KYC/KYB, sanctions screening, or fraud checks before allowing access to certain features.

4. Jobs and verification

Buyers submit tasks with requirements such as workload type, budget, deadline, geography, device capabilities, redundancy rules, and verification criteria. DePinguin may route jobs to eligible devices based on capability, reliability, price, location, bandwidth, device constraints, reputation, and fraud signals.

Phone providers are paid only when the work meets the applicable completion and verification rules. Verification may include redundant execution, known-answer tests, benchmark tasks, output format checks, automated validation, manual review, reputation scoring, fraud detection, and other quality controls.

5. Pricing, fees, and payouts

Unless a different written agreement applies, pricing is based on an automatic bid per verified job. The bid may depend on task complexity, urgency, redundancy, geography, device scarcity, expected resource use, verification requirements, and live supply.

Buyer charges and phone-provider payouts may be displayed before a job is accepted or executed. DePinguin may charge marketplace fees, verification fees, premium routing fees, dashboard/API fees, enterprise fees, or other usage-based fees. Payouts may be delayed, reduced, withheld, reversed, or blocked if work fails verification, violates these terms, appears fraudulent, or cannot be processed by payment partners.

6. Device safety and user constraints

Phone providers should be able to set limits for battery, temperature, bandwidth, charging state, network type, time windows, device availability, and permitted workload categories. You are responsible for keeping your device, account, credentials, and operating environment secure.

DePinguin may reject, stop, throttle, or reroute jobs to protect users, devices, buyers, the marketplace, or platform integrity.

7. Prohibited use

You may not use DePinguin Network for illegal, harmful, deceptive, abusive, or unsafe activities. Prohibited activities include, but are not limited to:

  • malware, botnets, credential theft, exploit delivery, unauthorized access, or evasion of security systems;
  • surveillance, hidden recording, tracking, doxxing, stalking, harassment, or collection of personal data without a lawful basis;
  • fraudulent device spoofing, fake results, collusion, automated abuse, manipulation of reputation, or payment fraud;
  • workloads that create physical harm, psychological harm, illegal content, child safety risks, hate, violent extremism, or other prohibited content;
  • cryptocurrency mining or resource-intensive work not clearly disclosed and explicitly permitted by the platform and phone provider;
  • violating export controls, sanctions, privacy laws, intellectual property rights, or third-party platform rules.

We may suspend accounts, block payouts, remove jobs, preserve evidence, and cooperate with lawful requests when platform integrity or user safety is at risk.

8. Content, outputs, and data rights

Buyers remain responsible for the jobs they submit, the data they provide, the legality of their instructions, and their use of resulting outputs. Phone providers remain responsible for complying with these terms and for not misrepresenting devices, locations, capabilities, or work results.

Unless a separate agreement states otherwise, buyers receive rights to use verified outputs for the purpose described in the job, while DePinguin may process job metadata, device telemetry, verification results, and reputation data to operate, secure, improve, and audit the marketplace.

9. Beta service, disclaimers, and limitation of liability

The service may be experimental and is provided “as is” and “as available.” We do not guarantee uninterrupted availability, specific earnings, specific buyer demand, specific device performance, perfect verification, or suitability for any particular workload.

To the maximum extent permitted by law, DePinguin will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, business interruption, device issues, or third-party payment failures.

10. Changes and contact

We may update these terms as the product evolves. The updated version will be posted on this page with a new “Last updated” date.
